White House puts UAW ahead of property rights

Last Friday, the day after Chrysler filed for bankruptcy, I drove past the company’s headquarters on Interstate 75 in Auburn Hills, Mich.

As I glanced at the pentagram logo I felt myself tearing up a little bit. Anyone who grew up in the Detroit area, as I did, can’t help but be sad to see a once great company fail.

But my sadness turned to anger later when I heard what bankruptcy lawyer Tom Lauria said on a WJR talk show that morning. “One of my clients,” Lauria told host Frank Beckmann, “was directly threatened by the White House and in essence compelled to withdraw its opposition to the deal under threat that the full force of the White House press corps would destroy its reputation if it continued to fight.”

Lauria represented one of the bondholder firms, Perella Weinberg, which initially rejected the Obama deal that would give the bondholders about 33 cents on the dollar for their secured debts while giving the United Auto Workers retirees about 50 cents on the dollar for their unsecured debts.

This of course is a violation of one of the basic principles of bankruptcy law, which is that secured creditors — those who lended money only on the contractual promise that if the debt was unpaid they’d get specific property back — get paid off in full before unsecured creditors get anything. Perella Weinberg withdrew its objection to the settlement, but other bondholders did not, which triggered the bankruptcy filing.

After that came a denunciation of the objecting bondholders as “speculators” by Barack Obama in his news conference last Thursday. And then death threats to bondholders from parties unknown.

The White House denied that it strong-armed Perella Weinberg. The firm issued a statement saying it decided to accept the settlement, but it pointedly did not deny that it had been threatened by the White House. Which is to say, the threat worked.

The same goes for big banks that have received billions in government Troubled Asset Relief Program money. Many of them want to give back the money, but the government won’t let them. They also voted to accept the Chrysler settlement. Nice little bank ya got there, wouldn’t want anything to happen to it.

Left-wing bloggers have been saying that the White House’s denial of making threats should be taken at face value and that Lauria’s statement is not evidence to the contrary. But that’s ridiculous. Lauria is a reputable lawyer and a contributor to Democratic candidates. He has no motive to lie. The White House does.

Think carefully about what’s happening here. The White House, presumably car czar Steven Rattner and deputy Ron Bloom, is seeking to transfer the property of one group of people to another group that is politically favored. In the process, it is setting aside basic property rights in favor of rewarding the United Auto Workers for the support the union has given the Democratic Party. The only possible limit on the White House’s power is the bankruptcy judge, who might not go along.

Michigan politicians of both parties joined Obama in denouncing the holdout bondholders. They point to the sad plight of UAW retirees not getting full payment of the health care benefits the union negotiated with Chrysler. But the plight of the beneficiaries of the pension funds represented by the bondholders is sad too. Ordinarily you would expect these claims to be weighed and determined by the rule of law. But not apparently in this administration.

Obama’s attitude toward the rule of law is apparent in the words he used to describe what he is looking for in a nominee to replace Justice David Souter. He wants “someone who understands justice is not just about some abstract legal theory,” he said, but someone who has “empathy.” In other words, judges should decide cases so that the right people win, not according to the rule of law.

The Chrysler negotiations will not be the last occasion for this administration to engage in bailout favoritism and crony capitalism. There’s a May 31 deadline to come up with a settlement for General Motors. And there will be others. In the meantime, who is going to buy bonds from unionized companies if the government is going to take their money away and give it to the union? We have just seen an episode of Gangster Government. It is likely to be part of a continuing series.

I used to feel sad about the death of GM and Chrysler, but I have determined never to buy another one of their cars as long as this dishonest deal is in place. I'll buy a Ford, but neither of the other 2 US automakers. I can't believe how much contempt I have for Obama. He is turning the US into a banana republic. I've read that people will boycott Chrysler products and that wreak havoc with the new company. I think the whole deal ends with the government being the biggest consumer of the product. Every department in the public sector throughout the country that supplies vehicles to workers will have to use Chrysler products and you know how high the mark up will be. Talk about a success story. This will make one of those Harvard Case Studies for sure. Competition be And that's the truth!!!

Please explain what you mean by the White House Press Corps--referred to as the threat to turn loose the corps. against the senior 'non-union" shareholders? Is it more than Robert Gibbs? Is there a huge team? Or do you mean all the White House correspondents who are now, essentially, a White House Press Corps?

P.S. Your next article should be on how the pres. / Dems taking over the newspapers. See discussion in Senate.

All of this was predicted, but put off as right-wing alarmists.

It will be interesting whether Ford is allowed to oppose the deal. If the UAW actually is rewarded a piece of Chrysler, Ford will then have a union that is substancially invested in their competition. Thus Ford's union employees will have a vested interest in seeing success by their competition. By any reading of the anti-trust laws, this is clearly a violation.

Ford should be front and center on this issue. Just imagine what will happen come bargaining time. UAW will of course select Chrysler as the strike target, and the investors (re:Obama) will be quick to grant their demands to protect the "investment". Thus Ford will be completely screwed when they come to them for a contract. The best thing for Ford to do is then move all of their production outside UAW's reach.

This has all the makings a true financial disaster. But is this really Obama's agenda? Makes me start to wonder.

In order to prevent the kind of conflict-of-interest the union will have negotiating with Ford, I predict the car czar will write the UAW contract with Ford. The other shoe has not yet dropped with Ford. It also will become defacto owned/regulated by US. So the government will now completely control the banks and auto industry.

So Obama has paid off a constituency group, the UAW. There are countless others waiting for their payoffs, namely, government workers in states with huge unfunded pension liabilities. It's going to be an interesting 4 or 8 years seeing where Obama will get the money for all this.

Not only does B.O. want someone who can put aside the law in favor of one party or another but he also wants a black woman as the next justice on the Supreme Court to replace David Souter. No one but a black woman need consider her- or himself in the running.

President B.O. has been a staunch proponent of "remedial preferentialism" all his life and said as much when he ran for president. Now that he is the president, won fair and square, why would anyone be surprised by his statements on the matter of the next Supreme Court justice or for that matter on the subject of the car companies and banks?

I was a Died in the wool GM guy at one time, no longer. Chrysler's were always PoS's. What will happen is that they both will build Mediocre cars (think Trabants or Ladas)because all of the dollars will go into production (UAW) labor and precious little into engineering. When was the last time you saw any innovation come from a bureaucrat? That is not in their DNA and neither is it in the union's. The only thing left will be protectionism.

Barone didn't even bother to check any basic facts. Lauria's account is in dispute, and bankruptcies routinely feature clashes between creditor classes. Lauria client, Perella Whineberg, is quite the squirrel. They sign onto the deal, then send their shyster out to trash it.

As for the "rule of law," it's a bit hard to take that seriously from the same wingnuts who are hell bent for torture and ignoring all the laws against it.

The important thing here is for the bondholders to hang tough. They will have their day in court. And, the courts will correct this outrage. I have not seen a clearer case of black letter law in a long time. Secured bondholders should and will prevail over unsecured unions.

Sorry, but the bondholders should lose at the expense of the workers who made the company run in the first place, those who had retirements with the company. I don't know anyone in their right mind that would base their investment portfolio solely on GM and Chysler. So a 33% of value deal isn't all that bad. This bankruptcy should have happened earlier, and who knows what will happen with the union owning the majority stake. My guess is it will make the unions a little more realistic.
For all you rascists on this board, all you do if forment more anger at the republican party. You don't allow sensible voices to be heard that argue against Obama.

To his credit: Mitt Romney wrote an Op-Ed back in November of '08 saying that the car companies should just be allowed to go into bankruptcy:

Now, five months and billions of dollars later, Chrysler is finally headed there and GM possibly soon to follow.

If they would've started the bankruptcy process back in Nov/Dec... or even January... They'd be much closer now to being back on track.

Not to mention, a regulated bankruptcy back then would not have soured nearly as many potential car buyers.

[We in the middle class that are the last of the 'Buy American' breed, are left with nothing but Ford.]

Notice how quickly the UAW tried to back away from the fact they are now the majority shareholder (55%) in Chrysler, by saying they'll be selling the stock at the first opportunity. Of course the stock is worth essentially nothing, and they'll get no buyers anytime soon, but by saying they want to sell they're trying to dodge responsibility for the future success or failure of the company.

First Obama strong arms Chrysler bondholders into giving up their legal priority standing so that ownership can be transfered to Fiat, a foreign corporation, the Obama administration and the UAW.

Now, today it is announced that GM will flood the market with new stock shares to the Obama administration and UAW that will dwarf the current shareholders position 100-1.

With Obama as President, what investor would want to own a corporate bond or share of stock? The Obama admin. thugs could rip that private ownership out from under you regardless of normal legal standing.

Is this the end of free markets in the USA? Is this not fascism when the government controls private industry with heavy-handed threats and intimidation to gain ownership?

Sir, I am proud to say, the same to you.Actually, the current recession and the rapid increase in unemployment began in 2007 and has continued since. The significance of this is that this was precisely the time when the Democrats took over the majority in Congress. Congress controls spending. Now it is being ramped up because they no longer have anyone to oppose them. I believe they offer civics courses at community colleges. Try taking one before you form a political opinion. The reason why government is being eviscerated by lawyers is because the state Bar associations are the only trade that has sole authority to discipline lawyers. The Bar has become the fourth branch of government, running the other three, for its own benefit. All the recent scandals, including the housing bubble, the "Enroning" of the international oil markets, and the banking crisis were caused by lawyers setting up offshore corporations, illegal investment vehicles, and more. None of these people have or will ever be disciplined.

States must quickly enact legislation siezing authority to discipline attorneys by commissions comprised of volunteer retirees from advanced professions. When unethical lawyers don't last long enough to become President or SupCt justices, America will be on track to becoming a free country based on the rule of law.

The feds tried to make all stakeholders share in the sacrfice and, yes, since they had already sacrificed considerably in their contracts, minimize the ADDITIONAL sacrifice of Chrysler's unionized workforce. The biggest problem here is the fact that some of you are refering to the boldholders as "money changers, who never actually work for a living" and "evil capitalistic pigs". If any of you knew ANYTHING about markets and how the world works you would know that bondholders are usually older people due to the relatively low risk of bonds. They are not wealth people who can afford to take big risks because the money they have invested is normally their savings from a lifetime of hard work. They invest in these types of securities in order to try and earn a small return on the money they have saved to last the rest of their lives. greedy? you are the pig for calling such people greedy. And are you seriously talking bad about capitalism as a bad thing. You must be one of those people who think that you should have everything everyone else does no matter if you work for it or not. You want freedom? Capitalism is the ONLY form of economic freedom. Read a book morons.

Additionally, you are completely ignoring that the bondholders provide the capital to build the plants that the union workers worked in. The workers got paid wages and the bondholders get interest. When the company promises workers future benefits, EVERYONE knows that the promise is junior to the bonholders getting paid off first.

The bondholders are responsible for creating the infrastructure that allowed the workers to earn their wage. In the auto business, capital comes before labor. Don't like that deal? Work in a trade that doesn't require someone else's capital.

All the King's money, power and prestige will not return Chrysler to its 1950's status.

Chrysler will die anyway.

There are too many good car companies making lots of good cars at better prices that wise consumers can not ignore.

I doubt enough consumers will buy a car from a twice failed car company which has been given untold bad press, Federal hand outs and ignobly has a "federally" guaranteed warranty!

The best Chrysler can do is come out of bankruptcy, stumble along for a time before falling in the dust again taking large amounts of taxpayer money with it.

Honda, Toyota and others will not yield any market share either. Why should they?

The larger unanswered question with Chrysler and BHO's administration is will America have capitalism or socialism?

Hmmm. Ignorance is bliss. Without the bondholder loaning the company money via the purchase of bonds, that company has no capital to hire workers. A bond is a loan used ot pay for capital expenses. So now, no one will buy a bond to loan the company money and the company will be unable to invest in workers or machinery. Now everyone is out of work. That's why we have bankruptcy laws that protect bondholders. I am sure you would gladly loan your neighbor $100 and be willing to accept $33 in return right?

The US Dollar will eventually settle the matter. Once the dollar tanks, --and it is certain to do just that within 18 months-- then it won't matter who gets what in this settlement, -the dollars will be worthless no matter who gets the nod in the bankruptcy. I can't say I feel sorry for either party. Only an idiot would have bought Crysler bonds in the first place, and only a delusional auto worker would have thought all the benefits promised them wouldn't be reneged on someday.

Most people have no love for OPEC, the oil cartel. Amercan's don't like the way they try to drive up the price of oil by minipulating the supply. But OPEC does not control all of the worlds oil and thus has a limited effect on the price, and we can buy oil from non OPEC producers.
The UAW is a labor cartel just like OPEC is a oil cartel, except the UAW Controls 100% of the market for Labor to build cars. This his led to union contracts that can not be sustained by the underlying business. Then the UAW has the nerve to blame management for high labor costs that have contributed to the failing of the car companies because they "agreed" to the contracts under threat of strike and work slow down. This is like "Agreeing" to buy protection from the Mob.

THE FACT IS THE UAW IS A MONOPOLY.

I will never buy another GM or Chrysler.

Some here want to dump on Bond Holder's like they are villians trying to steal a buck. What you don't recognize is that Bond Holders are ultimately made up of individuals. Who holds the bonds for Chrysler? Mutual Funds held by individuals, pension programs administered for individuals, investment trusts managed for individuals, IRAs owned by individuals, and the list goes on and on. The reason why government is being eviscerated by lawyers is because the state Bar associations are the only trade that has sole authority to discipline lawyers. The Bar has become the fourth branch of government, running the other three, for its own benefit. All the recent scandals, including the housing bubble, the "Enroning" of the international oil markets, and the banking crisis were caused by lawyers setting up offshore corporations, illegal investment vehicles, and more. None of these people have or will ever be disciplined.

States must quickly enact legislation siezing authority to discipline attorneys by commissions comprised of volunteer retirees from advanced professions. When unethical lawyers don't last long enough to become President or SupCt justices, America will be on track to becoming a free country based on the rule of law.[-q]

Jimmy... Go back to school, learn some English and Grammar and READ a book. Start with the Constitution. We are where we are due to decades of pandering and paying. My grandmother lived off the UAW/GM Legacy Pension of my deceased grandfather for years (20 or so) after his death before she passed. Is that fair to her to take it away? Was it fair to have that set up in the first place?? I love her, but the answer is NO. Still, the blame does not lie entirely with the Union. To allow the administraion to overstep LAW, in this case Bankrupcy Law, moves us that much closer to Total Gov't Control. And again the answer to that prospect is NO.

This is all very simple. Under bankruptcy LAW (you know, the thing the President is sworn to uphold), secured creditors have priority over unsecured creditors.

What compelling national interest is there to reverse the priority in this case -- except that the UAW is a Democratic constituency? None. Therefore, this is banana republicanism. Q.E.D.

It doesn't matter what one "thinks" about whether the hedge funds "deserved" more than the UAW. The hedge funds had contractual rights to the recovery of certain amounts. One of the sole reasons to have a government is to provide individuals with the mechanism to enforce property rights. Only in a banana republic does the government get to allocate resources to groups depending on which group is more favored by the government (i.e. the one the government thinks "deserves" the resources being allocated).

The reality is that up until recently auto companies were responsible for themselves not government. Bush should have never provided our money for a so called bail out. This should have gone straight to bankruptcy court but instead he opened the door for government take over by Obama. Pay attention folks! This is what they want to do to our healthcare. Government proves that it can't run a business and yet it still tries while destroying the business and our money. Eventually Obama will get credit for destroying the auto industry. Without the ability to sell bonds (who would buy them?) and raise capital Chrysler will die.

One of the conditions of the loans was that they would get priority incase of a bancruptcy. It is in the contract so they are legally entitled to recover first. IT IS THE LAW! The short term sympathy for the workers and retirees cannot be allowed to outweigh the far reaching implications this will have for every domestic industry. Others have mentioned that if the bondholders are screwed they will take their money and go home. This is true. They will invest in industries in other countries that are not so hostile toward them. We have seen this demonstrated in the offshoring of jobs due to cheaper labor and less hostile enviromental policies. Meanwhile reasearch, innovation and infrastructure suffers here. Ultimately if this is allowed to go forward AND is allowed to set a precident, it has the potential to turn us into a third world economy.

It is a big deal - the bond holders entered into a contract to have first priority in the case of liquidation. You may not think this is fair because others have lost more but this is the law - and these were the ground rules from the start. The bond holders mitigated their risk and in turn took lower returns when the times were good. Now that the times are bad this is where their position should be benificial. Who will ever enter into a contract now if the government can void it based on what they think is "fair".

This is mob rule.

You may not understand the importance of upholding the terms of a contract - but it is in fact the main reason we have a justice system.

so in 5 years when they need to retool a factory to get a new model out whre are they going to get the money? No one will buy bonds! So are the union workers going to cough up 5k each to design consultants, 3k each to build the prototypes and do all the crash tests, another 2k each to do non destructive testing on the parts to figure the failure rate for spare parts stosk, another 5k for retooling, then accept a 10% paycut to help repay the losses because they cheaped out on the testing and have multiple lawsuits and recalls?

I think the UAW taking over is a good thing for three reasons. 1) Once the UAW gets to call the shots, production will decrease as will the quality of work. 2) Prices will increase for all Chrysler products due to the massive increase in entitlement programs within the union. 3) The UAW will be exposed for what they really are all about-money. The only thing they care about is union dues, period. Once the union workers see how little the union delegates care about them, they will become disenfranchised and quit. The combination of these three scenarios will bring this company and the UAW to its knees and once the American public sees this charade for what it really is, dumping more taxpayer money into Chrysler will be political suicide.

I see no one has addressed the perfectly legal option of CRAM DOWN, beyond name calling and assuming I'm a liberal (even though CRAM DOWN was invented by asshat wallstreeters who didn't want to pay the bills).

Also, no one is "forcing" the fiat merger, Chrysler has been seeking partners for years and Fiat is a perfect fit.

It is perfectly fine to complain about this deal, but try and get your facts straight.

A cram down is when a court forces the priority of an investor class. Since when does the executive branch get to decide judiciary edicts?

The bond holders are holding out for their day in bankruptcy court, where they know a cram down is a possibility, all they are asking for is the law to be followed.

you are right Magic Dog. I can understand an difference of openion, but to actually hate a group of Americans just because of the work they do is ashame. We pay taxes, vote, send our kids to college.

I guess some people just have to hate someone. They have to cut others down, even when they didn't do anything wrong.

I'm proud of my work and my service for this country. If people want to hate us, talk down to us & treat us as sub citizens, then I have no use for them. They are confused, sad people.

Want things their way & when they don't get it they start attacking some one else.

This is a sad time in America when people HATE a group of other Americans just because they worked & want & need their pensions & benefits.

And the fact that the UAW is working in their own self-interest...well, duh...that's their job, to work for the interests of the workers at the auto companies.

Now, it may be that the remaining holders of debt, the ones who didn't agree, may get more money after the suit than before (they could also get less or even nothing).It's a good deal for the lawyers, anyway.

I believe the issue with the unions is not the workers themselves, but the top union officials whose insatiable appetite for power has caused them to exploit the workforce the "represent". I've been doing a little research and I believe that what you are all looking for is a law that the Obama administration, President Obama in particular, could be prosecuted under. Given the pattern of threats and the benefit of one group, who has given him money, the UAW, over another, the investors, and the use of mail and or wire, ie. the media, I believe Attorney General Holder should be compelled to prosecute the President under the RICO statutes.
