Danaher plans $7b purchase of Beckman Coulter Danaher Corp. said it would acquire biomedical testing equipment company Beckman Coulter Inc. for about $6.8 billion, including debt.
The D.C. company said it planned to buy all the outstanding shares of Beckman Coulter for a cash price of $83.50 a share. After the assumption of debt and net of any cash acquired, the value of the acquisition would be approximately $6.8 billion.
The Beckman Coulter board of directors unanimously recommended that shareholders accept the offer, which represents a premium of about 45 percent to Beckman Coulter’s closing price on Dec. 9, 2010, the date on which market speculation began regarding a potential sale of the company. The transaction is expected to be completed in the first half of the year.
ManTech wins $448m Army contract
Fairfax-based ManTech International Corp. will continue to serve as mechanic and body shop for some of the Army’s armored vehicles under a contract worth as much as $448 million over 11 months.
ManTech will continue to repair the Army’s battle-damaged Mine Resistant Ambush Protected family of vehicles. The work is performed in Iraq, Kuwait and Afghanistan and at U.S. locations. ManTech has been doing the work since 2003.
MontCo sues plumbing company
The Montgomery County Office of Consumer Protection filed a lawsuit against All State Plumbing, Heating & Cooling Inc., saying it charged customers for county permit fees but didn’t get the permits or inspections when installing hot water heaters.
The suit points out more than a dozen cases in which consumers were charged from $90 to $150 for permits from the Washington Suburban Sanitary Commission that All State Plumbing never obtained.
The county also wants the company to provide copies of customer receipts to determine whether other customers were wrongly charged.
The lawsuit seeks restitution for customers and $100,000 plus punitive damages to be paid to Montgomery County.
